Thanks. I guess another question I have is after DeSantis leaves office, can Disney sweep-out the board and re-instate the prior board, and then restore all the powers the board had prior to this politically-motivated take over? Basically, a re-set.

It would probably be legal for them to do that, but it would violate the [First Rule of Acquisition](http://marvin.cs.uidaho.edu/About/ferengi.html).

OK, but now can someone (without directing me to the other thread) explain succinctly what Disney accomplishes by putting something off for a good long time? IOW, what exactly have they delayed? Desantis fooling with their tax benefits?

I live in Florida, but hardly follow Florida politics at all.

It doesn’t matter. “King of England” is not his title or the title of his office, but there’s enough information that there is no real doubt about who is being referred to here. That’s all that counts.

While I would never bet against the Mouse’s lawyers, it seems to me (based only on what’s being reported) that a possible objection to the contract is a lack of consideration. For a contract to be valid, both parties must receive something of value. It doesn’t necessarily have to be of monetary value, but there has to be some benefit to both parties or the contract is unenforceable. What does the Reedy Creek Improvement District get out of this deal?

My understanding is that Disney took on the debt, that would seem to be something that Reedy Creek received in value.

And they probably did not mind doing so in a style that is traditional and classic and that would be winkingly fitting for a business built on fantasy princesses, while at the same time getting Florida Man confused. Walt smiles in the freezer.

And saying “but now we’re the new guys” is no good since the _legal entity_ has a continuing existence. Now the new board will have to go to court to try and get this reversed.

As said before, the Mouse here took advantage of the lame duck phenomenon – whereby an election or a new appointment effective on a date certain _does not shift the sitting authorities into “caretaker” mode_, but (unless the statute that creates that governing body explicitly mandates otherwise) leaves them in charge with all full powers until the last second of the term, including the power to act in a way that has effects beyond that term.

The Royal Family will now receive 24/7 protection from an elite battalion of Mouseketeers.

They had considered trying to run and hide, but that would be pointless as it’s a small, small world.

Is this all just a dig at the size of his ears?

And at least one of those princesses was famously duped into signing an inequitably drafted contract…

Which implies a whole undersea legal system. And where did Ariel learn to sign her name?

And there’s also a hint of, “Our lawyers are better than your lawyers, so do you _really_ want to continue this fight?”

I mean, if this was their opening salvo, what does their finishing move look like?

The Merpeople have a whole underwater civilization; you think they’d have been able to build all those massive castles without a system of taxation, and a system of writing to keep track?

I suppose stone tablets would work for underwater record-keeping.

This. Under the language of this declaration, once the last of Charles’ _currently living_ descendants bites the dust, the 21-year clock starts ticking. That’s a very specific and finite group of people whose membership can’t be added to, and will only decrease over time as they pass away, as they all ultimately will. So the terms of this declaration will eventually expire (though they might not do so until sometime in the 22nd century) and therefore satisfies the Rule Against Perpetuities.

Hadn’t thought about the RAP since I was a trusts-and-estates paralegal back in another lifetime.
