Another post I can’t find now had a link to an article describing the offering as a PIPE, not a SPAC. Looking up [that term](https://www.menabytes.com/spac-pipe/) I found > Private Investment in Public Equity (PIPE Deals) refers to a private placement of shares of an already listed company to a select group of accredited investors. In simple words, it is a way for companies to raise a large amount of money quickly. The PIPE investors have the advantage of buying the company shares at a discounted price. It is amazing how everybody in the press is bad at their jobs, even in the specialty press. Trump did not receive one billion dollars in funding.
