How complicated will my life become if I cancel my LLC??

I realize that to cancel an LLC, all I have to do is fill out a form and send it in (I’m the only person in my business- no other partners/managers/board members), however, my fictitious business name was registered by “My Business Name, LLC”, my business bank account is in the name of “My Business Name, LLC”, my business insurance is in the name of “My Business Name, LLC”, etc. Basically “LLC” is plastered all over all of the peripheral parts/paperwork of my business.

My reason for canceling the LLC is that basically I’m paying an $800 LLC tax every year for a business that’s not booming, and for a level of asset protection that, in retrospect, I don’t think I truly need (basically, I don’t have any assets to protect- I’m not married, no dependents, no house, no gigantic investments). I’m thinking of “downgrading” to a sole proprietor, and maybe eventually- closing the business all together- sigh…

If I do cancel, I’m going to have to re-file ALL of that other paperwork as a sole prop, get insurance as a sole prop, and close the bank account an re-open as sole prop, aren’t I?

IANA lawyer, but wife = lawyer does LLCs all the time. Yes, you get to re-do 100% of the government & insurance & bank paperwork.

You are no more equivalent to your LLC than I am.

Depending on how the LLC management (ie you) accounted for any assets the LLC purchased, you may also be facing some interesting=costly tax issues for recovery of your depreciation deductions if you wind up the LLC.

Check with both a legal & tax expert before doing anything; the dumb-guy costs you avoid can more than pay for proper advice specific to your state.

We charge more to fix your problem after you’ve made it than we charge to tell you how to prevent it in the first place. And the gov’t will not buy “It was a mistake, I didn’t mean it, really, I didn’t. I want a do-over!!”
