Is this an example of stock manipulation?

I don’t want to give the specific stock, but here are the basics:
Shares authorized: 5.5 billion

Shares issued: 1 billion

Restricted: 500 mil

From my understanding this company is able to issue 5.5B shares, but so far has only issued 1B? Meaning At any time in the future the company can release the remaining 4.5B shares?

If that’s the case, then the past trading patterns are really interesting:

Average volume: 10mil

About once every 3-4 months I see a week where the average volume is 100mi or more per day, followed by a huge surge in price, the last time this happened the company then issued about 300mil new shares.

So is the company pumping its own shares to release brand new shares at inflated prices?

Newly formed companies may retain a large pool of shares to issue as employee stock options. Stock buybacks reduce the number of outstanding shares. If you divulged the actual company, somebody might be able to explain their situation.
