My job is not normally to deal with contracts. That’s why we have a legal department.
However, when a contract deals with anything technical, I have to look it over to make sure the non-techies aren’t inadvertantly screwing us out of something we need or getting us into something we don’t need.
So, this past week, I get the draft of a new contract for a fiber optics IRU (indefeasible right to use, in case you were wondering) that will allow our company to 20 years of use of a really nice dark fiber ring being built around town. It’s one of those deals that’s a no-brainer to sign up for since it cuts our costs by something like 90% and allows us much more flexibility and capability for everything from video to data.
I know I’m in trouble when the thing arrives in a box - and the definitions, declarations and recitals at the beginning of the document take up 15 pages on their own…
Long story short, it took me the better part of two days to read through this tome and mark up the parts that dealt with the engineering end of things.
Over the last five years or so, as this kind of thing has crossed my desk more and more often, I’m getting a LOT more respect for legal clerks, legal secretaries and so forth.
Hell, I’ve even made friends with a lawyer or two (don’t tell anyone…)
