On that Disney-Fox merger concern, does one "no" cancel it all out?

Disney is on the verge of buying out much of the 21st Century Fox Empire: the movie divisions and 20th Century Fox TV would be owned by Disney whereas the remaining TV networks (Fox TV, Fake News Channel) would be spun-off into a planed new Fox company.

Am I correct with the thought that if Brazil or Mexico say “no” to the pending Disney-Fox merger, even if all other regulators say “Yes”, that one “no” cancels out the entire transaction? As such, the proposed new Fox company would be a wasted effort.

I am firmly opposed to the idea of Disney owning so much. While Team Murdoch is in their legal right to do it, I think it is a bad idea to be willing to throw 104 years of Fox film history under the figurative bus. For other people opposed to the merger, I urge you to have your friends and/or family members pray that Brazil or Mexico says “no”.

-An 2/5/18 article written by a lady friend from FB on why the mergers on bad. Fox Empire namesake William Fox is mentioned several times: Why the Media Mega-Mergers Won't Benefit You and Me
-A 2/12/19 article also addressing reasons why the merger is bad: How The Disney-Fox Deal Will Be Bad For Movies, Hollywood & You.

I want the merger to go through for the selfish reason that the classic 20th Century Fox movie intro can then be put back into the beginning of all the new Star Wars movies.

Disney has already bought Fox. It happened last year. What they are doing now is working out the details. What they will have to do to satisfy various regulators.

If there is an anti-trust / market share problem in some country, then Disney will have to spin of some local company or sell some local division. If there is some really strong local objection, Disney might be forced to withdraw from a local market. Even that would probably not force them to unwind the sale.

murdochs short attention span strikes again… he became famous for buying up tabloids in various countries and trashing them up even more than they already were then became bored with them and let most of them die

then he bought a loosely connected set of uhf tv stations started a “weekend” only network and well married with children was their first real hit then 90210 and the Simpsons and then they expanded out he also started a bunch of uk cable networks under the “sky”

For those he hired people who knew what they were doing but now hes old and tired and I don’t think his offspring want to take over very much

Now hell just have faux news and a few tabloids left I think he might have sky but I think he sold those before fox
But fox has laways been considered a “b” studio in peoples eyes

But Disney owning fox is only slightly more than time warner owning everything of value mgm had left ……because they all ready own most of fox’s former high dollar movies ……the marvel and star wars properties

and Disney hadn’t had an adult movie division since touchstone and Miramax so its a good fit

only thing Disney would have to do is sell off all the fox stations or they become independent again like Disney had to sell kcal-9 in la when they bought abc
what I think Disney wants is the library so when disneyflix starts in the next year or two they have content for it

Brazil’s antitrust branch (CADE) is worried Disney could have a monopoly on the sports TV market there, so they are telling Disney and Fox to sell of the sports channels. Even when that happens, if Brazil says “no” but all other regulators said “yes”, wouldn’t that one “no” cancel the entire merger and 20th Century Fox stays owned by 21st Century Fox? I ask this because it would make sense that the merger could only go through if regulators say “yes”.

cofece.mx/wp-content/uploads/2019/02/COFECE-009-2019-English.pdf explains that Mexico has given approval.

it would only affect the country that said no …and theyed either do one of 2 things 1 is follow what the regulators wanted it to do or 2 shut it all down and leave every one hanging

the only one that could stop this merger is the anti trust bureau of the us justice department sine its 2 us based companies

I wonder why USDOJ was fine with the Disney-Fox merger but not with the ATT-WarnerMedia merger, other than the latter was a bigger proposed sale.

There you go, you MCU fans! You can get your X-Men and Avengers cross-over at the cost of 104 years of Fox film history being wasted and Disney having a semi-monopoly on the market.

Man, Disney really sucks at times.

well id prefer Disney own it then Disney owning the library and the company limping along ala mgm has dome for 60-70 years …… and most of the people running Disney are movie people and not boardroom stock brokers with no clue ……

How, exactly, is 104 years of Fox film history going to be “wasted”? Is Disney going to burn all the existing media and rewrite the film history books?

The aspect of now being reduced to what is a essentially a brand/label part of a copyright maximalist Disney Empire. Let’s not forget that that thousands of jobs will be lost (why I am not a fan of these big media company mergers).

The reason that the Department of Justice sued to stop the AT&T purchase of Time-Warner was that Trump doesn’t like CNN.

And, regardless, the AT&T / Time Warner merger went through, anyway.

Right, because the Department of Justice lost its court case. I saw articles that suggested they would have been better off negotiating the terms of the merger.

I am not in favor of the Fox execs willing to get rid of 104 years of Fox film history. Though I am not in favor of this either*, why not just sell-off the Marvel rights that Fox does have back to Disney? Those several billion dollars would help lessen the debt that Fox currently has.

*not every Marvel movie character has to be in the MCU. Also, the logistics of writing the Fox Marvel characters in and it not be a retcon or plot hole would be a big challenge.

Marvel Entertainment Ike Perlmutter had a fall-out with Marvel in 2015. if I was him, I would rather sell off those characters to Disney than let 104 years of Fox history be wasted away.

Source of that fall-out claim (credibility being questionable):

Regardless of your feeling that Disney is going to “waste” Fox’s history (and your distaste for Disney), the ship has sailed. The merger is going through, and it sounds like any minor issues in certain markets (like the example you give with Brazil, with sports channels) will be handled by spinning off just enough of the local bits there to satisfy the regulators.

Yeah, that’s worked out *so *terribly for Pixar., Marvel and Star Wars…why, you hardly hear about those properties any more.

That’s not great, but hardly has anything to do with 104 years of Fox history being “wasted”

I am aware Brazil is only concerned about the cable sports channels? Still, why would Disney be nervous with Brazil, even if all they had to do is sell off the sports channels, if it did not mean Brazil saying “no” got the deal canceled? Also, offering to divest the sports channels and Brazil being open to the merger doesn’t mean that Brazil will say “Yes”. They likely will say “yes” but we will find out soon.

Yes, it is foolish hope that I am praying Brazil say “no” but I am sure you folks have had something that is foolishly to hope does not happen. I don’t understood the people who are not opposed to the semi-monopoly, 104-year history being knowingly wasted, the lack of creative competition, and thousands of job lay-offs of the Disney-Fox merger. Pray Brazil says “no” and the merger gets canceled. Those are more worthy of a concern than seeing the X-Men in an MCU title, which would be difficult without retcons, plots holes, and other continuity issues.

If those in charge of the Fox Marvel rights just sold it off to Disney, I prefer that than absorbing most of Fox and getting those rights.

I guess those execs are overlooking the fact how the about the Edison Trust, Williams Fox’s attempt at controlling MGM, and the studio system were all shut down by the USDOJ and other powers that be. These 3 were either semi-monopolies or close to it. USDOJ giving the nod to this pending merger and the AT&T/WarnerMedia merger was a huge mistake.
