From a tax standpoint, if partners representing 50% or more of a partnership leave then it is “technically terminated”. Other than that, I’m not aware of any legal termination requirements and it would indeed generally be addressed in the agreement.
On another note, that was a pretty realistic looking hung corpse. Did I notice them “hold there nose” subtly when they first opened the door? A very well done scene IMHO.
