My interview is tomorrow at 3 pm. I have to pass the admin screen before I will be admitted to the presence him/herself. So, short interview = bad, long interview = good. Once I found out where I would be interviewing, I Googled them. Lots of good stuff on their site, they sound like a decent place to work, excellent benefits, hmm, they only close Christmas and New Year’s Day, that might be annoying.
And then, out of habit, I do what I’ve done the past 7 years when researching a company: pull up their press releases and their latest 10-Q & 10-K (SEC financial filings, Q is quarterly, K is annual, both include financial statements). The Q looks good…Hey, wait a minute! This was filed in April 2006. Hmmm. And their last K was filed in 2005. Double-plus ungood. Press releases are…interesting. Recent resignation for “personal reasons,” new CxO after…Restatement? Starting from when? Oh, h#@! Go check who signed off on the K in 2005. @#%^@!# No wonder the company sounded familiar. Sigh. Go poke around in EDGAR some more. Page after page of sorry, can’t file yet, sorry, can’t file yet. Oh, look, the latest earnings call transcript is online, and that’s quite enlightening. Ah, I love the smell of BS in the morning!
My google-fu was strong tonight, so there’s lots more, but I won’t bore you (any more than I already have) with it. I hadn’t realized that I had become fluent in weasel-ese and BS during my tenure with The Firm, but it’s a useful skill to have.

This is fascinating. What’s a reason that a company would be able not to file a 10-K? Does that mean they’re not profitable? Don’t leave us hanging. It’s like a mystery novel.
Oh, I’m going to the interview, if for no other reason than the sheer entertainment value. Plus, it’s practice. But combining this information with the rather vague job description the recruiter had, it isn’t looking very promising. Well, that and the even more *interesting *information I found 5 minutes after I posted. It’s generally a bad sign when the recruiter sounds dispirited about a position, so I’ll be treating this as strictly a trial run. I’ve been creating a list of questions for the “do you have any questions” part of the interview, something I’ve never been good at. Not, I hasten to add, having anything to do with the information I posted above!
Not being able to file means the company has been either been very naughty with regards to finances, which means it’s possible that the SEC, other governmental agencies, and their stockholders, are very, very unhappy with them and/or they are about to no longer be a going concern (like, they can’t keep the lights on anymore) because, see above.
Restatement means somebody made an oopsy, either by accident or design, on the financial statements, which could be either the company, its auditors, or both, and the financial statements have to be restated (redone) for the period they were incorrect. Restatement is a four letter word in the auditing world. It’s similar to if you told the IRS that you had 64 dependents and filed your tax returns accordingly, but the IRS discovers you don’t actually, so you have to redo the tax returns for the years you filed with 64 dependents. Except one year you had 3 dependents, another you had 5, and there were all those other write-offs you had that may or may not be valid, and they each have to be reviewed and approved. So restatements take time. While the company is restating its financial statements, it can’t file, because the information it has is incorrect, so it’s unusable. This is way oversimplified but close enough for entertainment value.
Interesting, Jahdra. With all the SEC work I do, I wonder if I’ve heard of your company in the context of one of the investigations I’ve done depos for. Of course, if I have, I couldn’t tell you since I’ve signed some serious paperwork with them, enough to persuade me to keep my mouth shut. But it’s always interesting to see who’s in trouble for what. It’s also interesting to see various “kicks” the SEC gets on – right now it’s restatements, but a couple of years ago it was something else entirely. Every couple of years I go through and delete a bunch of macros that I never use any more relating to the last “kick.” I guess it’s easier to investigate one particular kind of problem enough that it puts the whole industry on notice to toe the line in that area; but of course since accounting at the level of large companies can be as creative as writing symphonies, there’s always some new area for the regulators to zoom in on.
But if your interviewing company hasn’t t filed a Q since April 2006? I’d definitely be wary! Have you been reading their press releases and 8-Ks? That can clue you in on all kinds of interesting stuff, too.
I was a good girl and got several things blocked out tonight. Then tomorrow I’ll spread out on my bed to block the last bunch of stuff – I don’t have a lot of animal-proof surfaces in the house big enough to block on, so I’ll have to do it in stages. I’ll take photos of everything to show you guys when I get it all done and ready to go; I’m very proud of what I’ve been doing lately.
My next decision is my knitting project for traveling. I want something that will not take up a lot of room – which leaves out the ruana for Rosie, which will get too bulky very quickly – but is a not particularly complicated pattern. I think I’ve settled on this shawl, which is actually almost entirely one 12-row rose pattern with an 8-stitch repeat knitted around and around and around and…anyway, I’m using a finer yarn than called for so I won’t have to haul a big pile of yarn along, but it should more than keep me busy on airplanes. Which is a good thing since whoever designed airplane seats could give Torquemada lessons.
I’m off to bed, I think – I’ve got just a few more rows to knit to finish one more scarf that will need blocking in the morning, and then the last couple things I’m going to knock out quickly are patterns and yarns that don’t need blocking. I can see I’m going to have to put some serious supply-building for whenever I want to do another craft show; I can see it taking me 4-6 months to build up a semi-decent stock, since I hate the stuff knit in super-bulky yarn on size 16 needles. That’s cheating!

And, in a totally unrelated development, I just learned that a second 30+, recently married guy in our dept. has had a cardiac “event” – within a week! :eek:
The first one was really bad – total cardiac arrest, clinically dead, heroics by the EMTs – but, miraculously (and thanks to the EMTs and medical staffs’ heroic work!!) appears to be on the road to full recovery. That was about a week ago. This morning, we learn that **another **guy went to hospital overnight with chest pain etc., was kept there and will be undergoing catheterization today to see what’s wrong…

Just checking in. No, Roo, I’m not disappearing during my vacation. I’m just a little more scarce than normal because I get to do more personal things than normal and I’m not stuck in front of a work computer for 8.5 hours.
The vacation is going well. Lots of free time to catch up on things or do various things. Two notable things so far:
We watched Disturbia last night. It was actually a good movie! It’s basically a re-imagining of Hitchcock’s Rear Window with Shia LeBoeuf (Transformers, Even Stevens) sitting in for James Stewart, but with an ankle bracelet instead of a wheelchair as the reason for his being housebound. He’s a surprisingly good actor, and I like that the movie stuck with suspense instead of trying to turn it into a slasher flick.
In keeping with the creepy genre, I discovered a really creepy game called Penumbra Overture. I started a thread about it here for those who are into that sort of thing. I’m still play through it, and man, is it fun – in a creep-yourself-right-the-hell-out sort of way.
I still have to catch up on the MMP, so I’ll see if I can get that done tomorrow.

So my friend is having a rough time of it, she had a double radical and recontruction at the end of July. They put in a bunch of drains which are making her miseraby uncomfortable, but they are necessary. Unfortunately, they’re still draining fairly steadily, so it’ll be a while yet before they come out. Her prognosis is very good to excelllent at this point but the drains are driving her batty.
Meanwhile, her cousin (that guy) is in the hospital for the thirs time in as many months for heart problems and now he’s having surgery. I feel awful because I keep forgetting to call him. But I will definitely do so this week.
